Terms of Service
Terms governing your use of QuickContract.
Effective date: January 1, 2026. Last updated: April 7, 2026.
These Terms of Service ("Terms") govern your use of the QuickContract desktop application and related services ("Service") provided by QuickContract ("we", "us", "our"). By downloading, installing, or using QuickContract, you agree to these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account, activating a license, or using QuickContract, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using QuickContract on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
2. License grant
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use QuickContract as follows:
- Free plan: A perpetual, no-cost license to use QuickContract with limited features on a single device. The Free plan may be subject to usage limitations as described on our pricing page.
- Pro plan: A perpetual license to use QuickContract with all features on up to three (3) devices owned or controlled by the licensee. "Perpetual" means the license does not expire, though access to future major version upgrades may require a separate purchase.
- Team plan: A monthly or annual subscription license granting access to QuickContract with all features, including team collaboration, cloud sync, and shared workspaces. The Team license is valid for the duration of the active subscription. Each team member requires a seat.
You may not sublicense, resell, distribute, or make QuickContract available to third parties except as expressly permitted by the Team plan's shared workspace functionality.
3. Bring Your Own Key (BYOK)
QuickContract's AI features require you to provide your own API key from a supported AI provider. You are solely responsible for:
- Obtaining and maintaining your API key and any associated provider account
- All costs charged by your AI provider for API usage
- Compliance with your AI provider's terms of service and acceptable use policies
- The security of your API key
QuickContract stores your API key locally on your device using the macOS Keychain. We do not have access to your API key and are not responsible for charges incurred through your provider account.
4. Not legal advice
QuickContract is a software tool that uses artificial intelligence to help you draft and manage contracts. It does not provide legal advice, legal representation, or attorney-client privilege. The output generated by QuickContract, including contracts, clause suggestions, and Legal Advisor responses, is produced by AI and should not be relied upon as a substitute for professional legal counsel.
You are solely responsible for reviewing, verifying, and approving any contract or legal document generated by or managed through QuickContract. We strongly recommend that all contracts be reviewed by a qualified attorney before execution. QuickContract makes no representations or warranties regarding the legal validity, enforceability, or completeness of any AI-generated content.
5. Limitation of liability
To the maximum extent permitted by applicable law, QuickContract and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.
Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to QuickContract in the twelve (12) months preceding the claim.
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
6. Refunds
- Pro plan: We offer a 14-day refund window from the date of purchase. If you are not satisfied with QuickContract Pro, contact us at support@quickcontract.app within 14 days for a full refund. After this period, the perpetual license is non-refundable.
- Team plan: Monthly subscriptions can be cancelled at any time. Cancellation takes effect at the end of the current billing period. We do not provide partial refunds for unused time within a billing period. Annual subscriptions are eligible for a pro-rated refund within the first 30 days.
7. Termination
You may stop using QuickContract at any time. For the Team plan, you may cancel your subscription through your account settings or by contacting us.
We may suspend or terminate your access to the Service if you violate these Terms, engage in abusive behavior, or use the Service for illegal purposes. In the event of termination for cause, no refund will be provided.
Upon termination of a Team subscription, your local data remains on your device. Access to cloud sync and shared workspaces is revoked at the end of the billing period.
8. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and notify users through the application or by email. Your continued use of QuickContract after changes are posted constitutes acceptance of the revised Terms.
9. Governing law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
